Terms of Use

Please read these Terms of Use carefully before using DonorSeek. By accessing or using any DonorSeek service — including the DonorSeek for Charities app and the DonorSeek for Donors app — you agree to be bound by these terms. If you do not agree, do not use our services.
1. About DonorSeek
DonorSeek is operated by Donor Seek Ltd, a company registered in New Zealand (“we”, “us”, or “our”). We provide two software-as-a-service applications:
- DonorSeek for Charities — a platform for charities to manage donors, record donations, and generate and distribute donation receipts.
- DonorSeek for Donors — a platform for individual donors to collect and manage their charitable donation receipts and generate tax credit summaries.
These terms apply to both applications and all associated services.
2. Your Agreement
By creating an account or using our services, you confirm that:
- You are at least 18 years of age, or are accessing the service under the supervision of a parent or legal guardian who agrees to these terms.
- If you are agreeing on behalf of an organisation, you have authority to bind that organisation to these terms.
- You have read, understood, and agree to be bound by these Terms of Use and our Privacy Notice.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorised use of your account. We are not liable for any loss or damage resulting from your failure to protect your credentials.
You agree to provide accurate, current, and complete information when creating your account and to keep this information up to date.
4. Use of the Service
You agree to use DonorSeek only for lawful purposes and in accordance with these terms. You must not:
- Use the service to process data relating to donations that did not actually occur.
- Issue false or misleading donation receipts.
- Attempt to gain unauthorised access to any part of the service or related systems.
- Use the service to transmit spam, malware, or other harmful content.
- Resell or sublicense access to the service without our written consent.
- Use the service in any way that violates applicable New Zealand law, including the Charities Act 2005, the Income Tax Act 2007, or the Privacy Act 2020.
- Reverse-engineer, decompile, or disassemble any part of the service.
5. Your Data
You retain ownership of all data you upload or create through DonorSeek (“Your Data”). By using the service, you grant us a limited, non-exclusive licence to process Your Data solely to provide the services to you.
You are responsible for ensuring that Your Data — including any personal information about donors — is collected and processed lawfully, and that you have any necessary consents to share that data with us.
We will handle Your Data in accordance with our Privacy Notice.
6. Subscription and Payment
DonorSeek is available on a free tier and a paid Pro tier. Pricing is displayed on our website and within the application.
- Pro subscriptions are billed annually in New Zealand dollars (NZD), inclusive of GST where applicable.
- Payments are processed securely via Stripe. We do not store your full payment card details.
- Subscriptions automatically renew at the end of each billing period unless cancelled.
- You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period — no partial refunds are provided for unused time unless required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986.
- We reserve the right to change our pricing. We will provide at least 30 days’ notice of any price increases to existing subscribers.
7. Intellectual Property
DonorSeek and all its content, features, and functionality — including but not limited to software, text, graphics, logos, and interface design — are owned by Donor Seek Ltd and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to use the service in accordance with these terms. This licence does not include the right to use our name, logo, or trademarks without our prior written consent.
8. Third-Party Services
DonorSeek integrates with third-party services including Xero (accounting), Stripe (payments), Supabase (data infrastructure), and email delivery providers. Use of these integrations is subject to the terms of those third-party providers. We are not responsible for the availability or performance of third-party services.
9. Disclaimer of Warranties
DonorSeek is provided “as is” and “as available” without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties including fitness for a particular purpose and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy of any tax-related summaries or calculations generated by the service — these are provided as a convenience only and should be verified with a qualified tax professional or Inland Revenue.
10. Limitation of Liability
To the maximum extent permitted by New Zealand law, Donor Seek Ltd is not liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the service, including loss of data, revenue, or goodwill.
Our total aggregate liability to you for any claims arising under these terms shall not exceed the total amounts paid by you to us in the 12 months preceding the claim, or NZ$100 if you are a free-tier user.
Nothing in these terms limits liability that cannot be excluded under the Consumer Guarantees Act 1993 or any other applicable New Zealand law.
11. Termination
You may close your account at any time from your account settings. We may suspend or terminate your account immediately if we believe you have breached these terms, or for any other legitimate business reason, with reasonable notice where practicable.
On termination, you may export your data before closure. We will retain data as required by law and in accordance with our Privacy Notice.
12. Changes to These Terms
We may update these Terms of Use from time to time. We will notify you of material changes by email or through the application. Continued use of DonorSeek after changes are posted constitutes your acceptance of the revised terms.
13. Governing Law
These Terms of Use are governed by the laws of New Zealand. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
